Applicability
The Moshe Terms of Service apply to all Moshe websites, mobile applications, and/or online services (collectively Moshe or Moshe app), that link to or reference the Moshe Terms of Service.
Moshe Overview
Moshe is an easy and convenient online app that can help you plan, track and collect for any number of non-business types of expenses including shared dining and roommate costs, shared vacation and travel costs, club dues and sporting team participation fees, office pools and charitable event donations. Key features include:
· Quick and simple process for inviting participants to your events.
· Payment reminders and recurring payment collection schedules.
· Detailed records of outstanding payments.
· Integrated payment option.
· Real-time notifications of pending payments.
· Event communication via chat.
· Refund/adjustment option to true-up event costs among event participants.
Terms of Use
This user agreement is a contract between you and Moshe LLC governing the use of Moshe. You agree to comply with all the terms and conditions in this user agreement. You also agree to comply with the following additional policies and each of the other agreements posted on https://moshepay.com/:
We may revise this user agreement and any of the policies listed above from time to time. The revised version will be effective at the time we post it, unless otherwise noted. If our changes reduce your rights or increase your responsibilities, we will provide notice to you of at least 20 days. We reserve the right to amend this agreement at any time without notice, subject to applicable law. By continuing to use Moshe after any changes to this user agreement become effective, you agree to abide and be bound by those changes. If you do not agree with any changes to this user agreement, you may close your account.
Conditions of Use
You may use Moshe only if you agree to these Terms of Service and to the processing of your information as described in our Privacy Statement. You may not use Moshe if you are barred from using Moshe under the laws of the applicable jurisdiction or if we previously banned your account for violation of these terms or if you are under the age of 18. You agree that you will use Moshe for its intended purpose, and in compliance with all applicable laws and regulations: local, state, and national, and international, as applicable. You agree not to use Moshe in a fraudulent, disruptive, aggressive, manipulative, for money laundering, or any other inappropriate matter. Moshe reserves the right, but has no obligation, to investigate your use of Moshe for compliance with appropriate use and terminate your access to Moshe, or in order to comply with law, regulation, legal process or government request. Moshe uses the PayPal payment platform as part of the functionality of Moshe. Moshe is currently only offered in the United States and you must be in the United States and have an active PayPal Personal account.
Your Representations
You agree to represent yourself honestly, that all the information you provide is true, correct, and current, to the best of your knowledge, and that you have the necessary rights, power, authority, and age to agree to these terms of service and to perform the acts required of you by the agreement.
Right to Terminate or Refuse Service
Your access to Moshe may be terminated at any time, for any reason, at Moshe’s sole discretion. This includes the right to ban any person from the service who uses Moshe to send spammy, unwanted or hostile communications to other users.

In connection with your use of Moshe, or in the course of your interactions with us or other users, you must not:
Actions We May Take if You Engage in Any Restricted Activities
If we believe that you have engaged in any restricted activities, we may take a number of actions to protect ourselves and other users at any time in our sole discretion. The actions we may take include, but are not limited to, the following:
If we close your Moshe account or terminate your use of Moshe for any reason, we’ll provide you with notice of our actions. You are responsible for all claims, fees, fines, penalties, and other liability incurred by us or other users caused by or arising out of your breach of this agreement.
Modifications to this User Agreement
You agree that Moshe LLC may modify this agreement at any time, effective immediately, by posting a new agreement. You agree that even if you have not personally visited the website with the new terms of this agreement, that they may have force immediately.
Informal Debts
Moshe allows users to create events and share the events with friends and family. The events are intended to summarize costs and allocate the costs among event participants. You agree that you understand these debts are not legally binding and represent informal information sharing among the event participants. You agree that Moshe cannot guarantee the accuracy of information entered by users.
Disclaimer of Warranty
Moshe is provided “as-is” and on an “as available” and without any representation or warranty, whether express, implied or statutory. We specifically disclaim any implied warranties of title, merchantability, fitness for a particular purpose and non-infringement.
Agreement to Arbitrate
If a dispute arises between you and Moshe regarding our service, our goal is to learn about and address your concerns. If we are unable to do so to your satisfaction, we aim to provide you with a neutral and cost-effective means of resolving the dispute quickly. Disputes between you and Moshe may be reported at https://moshepay.com/.
You and Moshe agree that any claim or dispute at law or equity that has arisen or may arise between you and us will be resolved in accordance with the Agreement to Arbitrate Policy. Please read this information carefully. Among other things it:
Privacy and Security
In order to provide the services to you, we collect some of your Personal Information. We describe our collection and use of personal information in the Moshe Privacy Statement. Please review this policy. You must agree to the processing of your data as laid out in that policy in order to use Moshe. You agree that Moshe may disclose personal information provided to us, including content of emails, messages, and data entered into the site, if required to by law or government request such as a warrant, or as specified in the Moshe Privacy Statement. You must be 18 years or older to use this service. You are responsible for preventing unauthorized access to your account.
No Liability
UNDER NO CIRCUMSTANCES WILL MOSHE LLC BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING EMOTIONAL DISTRESS) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL MOSHE LLC BE LIABLE TO YOU FOR ANY AMOUNT FOR SERVICES RENDERED PURSUANT TO THIS AGREEMENT.
Indemnification
You agree to hold Moshe LLC, its employees, agents, and representatives, as harmless and indemnify Moshe LLC from any third-party claim arising from or in any way related to your use of Moshe, including liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs, and attorney fees, of every kind and nature.
Severability
If any part of this agreement is held to be invalid or unenforceable, the provision shall be deemed to be superseded by a valid enforceable provision in its place that closely matches the intent of the original agreement, and all other parts of the agreement shall be enforced.
No Waiver of Rights
You agree that the failure to exercise or enforce any part of this agreement and terms does not constitute a waiver of the rights of provisions of this agreement.
Assignment
You may not transfer or assign any rights or obligations you have under this user agreement without our prior written consent. We may transfer or assign this user agreement or any right or obligation under this user agreement at any time.
Jurisdiction
You agree that this entire agreement (including the Privacy Statement) shall be interpreted according to the laws of the State of Wyoming.
Entire Agreement
These Terms comprise the entire agreement between you and Moshe LLC with respect to the above subject matter
PayPal Personal Account
Moshe uses the PayPal payment platform as part of the functionality of Moshe. All Moshe users will need to have active PayPal Personal Accounts. Moshe has features that interact with PayPal for the initial funding of users’ wallet in Moshe. Non-US users using PayPal violates Moshe’s terms of service and will result in account suspension.
a. You will not use PayPal for money-laundering, and you will report any suspicious activity or parties knowingly engaged in money-laundering to https://moshepay.com/.
b. That your use complies with all local, state, and federal regulations in your jurisdiction.
c. That all usage is in compliance with the PayPal Acceptable Usage Policy. You can view the PayPal Acceptable Usage Policy on the PayPal website.
Intellectual Property
Our trademarks
"Moshe," and all logos related to the Moshe app and website are either trademarks or registered trademarks of Moshe. You may not copy, imitate, modify or use them without our prior written consent. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of Moshe. You may not copy, imitate, modify, or use them without our prior written consent. You may use HTML logos provided by us for the purpose of directing web traffic to Moshe app or website. You may not alter, modify or change these HTML logos in any way, use them in a manner that mischaracterizes Moshe or display them in any manner that implies Moshe’s sponsorship or endorsement. All right, title and interest in and to the Moshe app and website, any content thereon, the technology related to the Moshe app and websites, and all technology and any content created or derived from any of the foregoing is the exclusive property of Moshe.
License grants, generally
If you are using Moshe such as an API, developer’s toolkit or other software application, which may include software provided by or integrated with software, systems or services of our service providers, that you have downloaded or otherwise accessed through a web or mobile platform, then Moshe grants you a revocable, non-exclusive, non-sublicensable, non-transferable, royalty-free limited license to access and/or use our software in accordance with the documentation accompanying such software, including this user agreement. This license grant applies to the software and all updates, upgrades, new versions and replacement software. You may not rent, lease or otherwise transfer your rights in the software to a third party. You must comply with the implementation, access and use requirements contained in all documentation accompanying the Moshe app and website. If you do not comply with implementation, access and use requirements you agree you will be liable for all resulting damages suffered by you, us and/or third parties. We may update or discontinue any software upon notice to you. While we may have (1) integrated certain third-party materials and technology into any web or other application, including its software, and/or (2) accessed and used certain third-party materials and technology to facilitate providing you with the Moshe services, you have not been granted and do not otherwise retain any rights in or to any such third-party materials. You agree not to modify, alter, tamper with, repair, copy, reproduce, adapt, distribute, display, publish, reverse engineer, translate, disassemble, decompile or otherwise attempt to create any source code that is derived from the software or any third-party materials or technology, or otherwise create any derivative works from any of the software or third-party materials or technology. You acknowledge that all rights, title and interest to our software are owned by Moshe and any third-party materials integrated therein are owned by our third-party service providers. Any other third-party software application you use on the Moshe app and website is subject to the license you agreed to with the third party that provides you with this software. You acknowledge that Moshe does not own, control nor have any responsibility or liability for any such third-party software application you elect to use on any of our websites, software and/or in connection with the Moshe app and website.
License grant from you to Moshe; intellectual property warranties
We do not claim ownership of the content that you provide, upload, submit or send to us. When you provide content to us or post content using Moshe, you grant us and our users (including parties that we may work with) a non-exclusive, perpetual, irrevocable, royalty-free, fully paid-up, transferable, sublicensable and worldwide license to duplicate, copy, display, publish, upload, perform, distribute, modify, create derivative works, delete, post, forward to others and otherwise use your content and associated intellectual property and publicity rights to help us improve, operate, promote, advertise and market our current services and develop new ones, in any form, language, medium or technology now known or later developed. We will not compensate you for any content. You further represent and warrant that (1) you own or otherwise have all the licenses, rights, consents and permissions in your content necessary to make the above license and grant, (2) your content is accurate and (3) your content and our use of your or content do not and will not infringe any intellectual property, privacy, proprietary or publicity rights, or otherwise violate confidentiality obligations, these terms or applicable law. Further, you agree to waive your moral rights and promise that you will not assert any rights in your content against us.
Submitting Intellectual Property Complaints
We respect the intellectual property of others and require that Moshe account holders comply with relevant intellectual property laws, including copyright and trademark laws. We may, in appropriate circumstances and at our discretion, limit or terminate the use of our products or services for users who use or publish content on Moshe that is subject to intellectual property rights claims. Moshe will respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act (“DMCA”). If you believe your intellectual property rights have been infringed by content on Moshe, you may request a removal of this content from our app and website by submitting a Notice of Copyright Infringement form to http://www.moshepay.com.
Convenience Fees and Referral Rewards
Referral Reward:
- $0.50 is added to the user’s referral reward account for each new Moshe user added with the user’s unique referral code.
- Referral rewards are added to the user’s referral rewards account and can be redeemed to pay for convenience fees.
Convenience Fees for Participant Event Transactions:
- $0.50 per transaction (unless referral rewards are redeemed).
- $0.50 is charged for each payment transaction and deducted from the participant’s wallet.
Convenience Fees for Organizer’s Event;
- $0.50 per event (unless referral rewards are redeemed).
- $0.50 is charged for each event and deducted from the organizer’s wallet.
Convenience Fees for Organizer’s refund transaction.
- $0.50 per refund transaction (unless referral rewards are redeemed).
- $0.50 is charged for each refund transaction and deducted from the organizer’s wallet.
Miscellaneous
Paid Upgraded Subscriptions
Moshe may offer upgraded subscriptions with access to additional functionality. Some users may have access to purchasing a paid monthly or annual subscription that may include several extra features. Payments for are collected via credit card via the Moshe website, or may be managed through the iTunes or Google Play Store. These subscriptions will automatically renew unless cancelled 24 hours before the end of the current billing period. The price at which Moshe is offered may vary due to date of subscription, local taxes and regulations, promotions, and Moshe reserves the right to change the price and subscription benefits at its sole discretion. If you have issues with our Moshe subscription or would like to request a refund, please email us at moshe@moshepay.com (we reserve the right to offer or refuse refunds at our sole discretion). Access to the upgraded features may be suspended for overdue payments and the user’s access will revert to the basic subscription service. Moshe reserves the right to offer or refuse upgraded subscriptions for any reason at our sole discretion.
Business Days
“Business Day(s)” means Monday through Friday, excluding holidays when Moshe’s offices are not considered open for business in the U.S. Holidays include New Year’s Day (January 1), Martin Luther King, Jr.’s Birthday (the third Monday in January), George Washington’s Birthday (the third Monday in February), Memorial Day (the last Monday in May), Independence Day (July 4), Labor Day (the first Monday in September), Columbus Day (the second Monday in October), Veterans Day (November 11), Thanksgiving Day (the fourth Thursday in November) and Christmas Day (December 25). If a holiday falls on a Saturday, we observe the holiday on the prior Friday. If the holiday falls on a Sunday, we observe the holiday on the following Monday.
Dormant Accounts
If you do not log in to your Moshe account for one or more years, we may close your account and any referral rewards will be forfeited.
Moshe Agreement to Arbitrate Policy
Our Agreement
You and Moshe each agree that any and all disputes or claims that have arisen or may arise between you and Moshe, including without limitation federal and state statutory claims, common law claims, and those based in contract, tort, fraud, misrepresentation or any other legal theory, shall be resolved exclusively through final and binding arbitration or in small claims court. You or Moshe may assert claims in small claims court instead of in arbitration if the claims qualify and so long as the matter remains in small claims court and advances only on an individual (non-class, non-representative) basis. This Agreement to Arbitrate is intended to be broadly interpreted. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.
Notice of Disputes and Settlement Discussion
Before bringing any dispute or claim, you or Moshe must first send the other party, by certified mail, a completed Notice of Dispute. You should send this notice through the Contact Us option at: https://moshepay.com/. Moshe will send any notice to you to the email address we have on file associated with your Moshe account; it is your responsibility to keep your email address up to date. To be valid, the Notice of Dispute must contain all information called for in the Notice of Dispute form including but not limited to: your or Moshe’s signature, the email address and phone number associated with the customer’s Moshe account, a description of the nature and basis of the claims that are being asserted, a statement of the specific relief sought, and any relevant documents and supporting information reasonably available to the claiming party. If you and Moshe are unable to resolve the claims described in the notice within 45 days after the notice is received by you or Moshe, you or Moshe may commence an arbitration proceeding. A form for initiating arbitration proceedings is available on the AAA's website at www.adr.org. The Notice of Dispute requirements are essential in order to give the parties a meaningful chance to resolve disputes informally.
Prohibition of Class and Representative Actions and Non-Individualized Relief
You and Moshe agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and Moshe agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative or class proceeding. Also, the arbitrator may award relief (including monetary, injunctive and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claim(s). Any relief awarded cannot affect other Moshe customers.
Arbitration Procedures
Costs of Arbitration
Payment of all AAA or arbitrator fees will be governed by the AAA's rules, unless otherwise stated in this Agreement to Arbitrate. In the event the arbitrator determines that either the substance of your or Moshe’s claim or the relief sought was frivolous or brought for an improper purpose, then you or Moshe may seek to recover from you or Moshe any fees it paid, including attorneys’ fees, to the extent permitted by the AAA’s rules and applicable law.
Severability
With the exception of any of the provisions in the Prohibition of Class and Representative Actions and Non-Individualized Relief section above, if a court decides that any part of this Agreement to Arbitrate is invalid or unenforceable, the other parts of this Agreement to Arbitrate shall still apply. If a court decides that any of the provisions in the Prohibition of Class and Representative Actions and Non-Individualized Relief section above is invalid or unenforceable because it would prevent the exercise of a non-waivable right to pursue public injunctive relief, then any dispute regarding the entitlement to such relief (and only that relief) must be severed from arbitration and may be litigated in court. All other disputes subject to arbitration under the terms of the Agreement to Arbitrate shall be arbitrated under its terms.
Future Amendments to this Agreement to Arbitrate
Notwithstanding any provision in the User Agreement to the contrary, you and Moshe agree that if we make any amendment to this Agreement to Arbitrate (other than an amendment to any notice address or website link provided herein) in the future, that amendment shall not apply to any claim that was filed in a legal proceeding against Moshe or you prior to the effective date of the amendment. The amendment shall apply to all other disputes or claims governed by this Agreement to Arbitrate that have arisen or may arise between you and Moshe. We will notify you of amendments to this Agreement to Arbitrate by providing notice through email at least 20 days before the effective date of the amendments. If you do not agree to these amended terms, you may close your Moshe account within the 20-day period and you will not be bound by the amended terms.
